Brian Zucker leads PCAOB audit engagements at RRBB for public companies, broker-dealers, and private companies preparing to enter the public markets.
His audit practice covers annual and interim engagements for companies filing with the SEC, including 10-K audits, 10-Q reviews, S-1 audits in support of IPOs, and audits tied to SPAC transactions, uplistings, and Reg A offerings. RRBB is PCAOB-registered, and Brian brings more than three decades of securities-focused experience to engagements where accounting complexity, transaction pressure, or compressed timelines demand experienced audit judgment.

Brian Zucker serves as FINOP (Financial and Operations Principal) for approximately thirty broker-dealers and maintains similar oversight roles for hedge funds. He holds CPA licensure in New Jersey and New York, along with FINRA Series 7, 24, 27, 53, 63, 79, and 99 registrations.
Brian has held senior financial roles at public companies in the securities sector and brings that operational experience to his regulatory practice. Though distinct from his public company and capital markets work, this practice reflects the same underlying expertise: financial operations oversight in regulated environments where precision and compliance are non-negotiable.
For broker-dealers requiring an experienced outside FINOP, Brian provides both the credentials and the judgment the role demands.
Tax Structuring, Compliance and Preparation
In Capital Markets, deal structure, executive compensation, founder planning, and public-company reporting all carry tax consequences that need to be worked through before, during, and after a transaction. Brian Zucker handles tax questions that intersect his accounting and capital markets work, and brings in RRBB's tax partners for dedicated tax planning, structuring, and compliance.
The tax work spans transaction structuring for IPOs, SPACs, uplistings, and M&A, alongside corporate tax compliance and income tax provisions for public companies. Brian also coordinates tax support for broker-dealers and investment funds, executive and equity compensation planning for management teams and founders, and pre-IPO planning around entity selection, QSBS qualification, and shareholder positioning. International tax, state and local tax, and individual tax planning round out the practice for clients whose needs extend beyond the corporate return.
Brian's role is to keep the tax work integrated with the rest of the engagement, so implementation runs in step with audit, reporting, and transaction timelines. He provides a broad range of accounting-related services to public companies, hedge funds, broker-dealers, and high-net-worth individuals. He has previously served as the President and Chairman of Atlantis Business Development Corp. (ABDV), CFO of Natcore Solar Technology, Inc. (NTCXF) trading on the Toronto Exchange and as a Managing Director of American Frontier Financial Corp. (EVIS) He serves currently (since May 2018) as the Chief Financial Officer of EIG Energy Partners Capital Markets, LLC.
