Investment Highlights

Rocket Doctor AI combines a physician-built digital health platform with physician-informed artificial intelligence to expand access to care across the United States and Canada. The highlights below outline the company's technology, the markets it serves, its commercial traction, and the experienced clinical and business team leading its growth.

A Physician-Built Digital Health Platform

Rocket Doctor's AI-powered platform and marketplace give physicians the tools to launch and manage their own virtual or hybrid practices, from scheduling and documentation to billing and connected diagnostics. The company reports more than 350 physicians and more than 800,000 patients seen.

Clinical Decision Support Built with Physician Input

Developed since 2016 with over 25,000 hours of clinician input and 10,000 expert medical reviews, Rocket Doctor's proprietary Global Library of Medicine (GLM) is an advanced clinical decision support system. Built for seamless integration, the GLM can be embedded into third-party platforms, including EMRs, AI scribes, and connected devices via robust APIs, bringing greater consistency to clinical care while drastically reducing physician administrative burden.

Expanding Access for Underrepresented Patients

The company serves rural, remote, and underrepresented communities across Canada and the United States, with a dedicated focus on patients covered by Medicare and Medicaid, supported by payer partnerships that extend its reach into major U.S. markets.

U.S. Payer Network and Commercial Traction

Rocket Doctor's payer partnerships reach approximately 24 million in-network eligible members across the United States as of the second quarter of 2026, including approximately 10.3 million in California, 10.0 million in New York, and 3.2 million in Maryland, with a state expansion pipeline that includes Florida and Texas. The company reports approximately US$2.9 million in annual recurring revenue, a non-GAAP measure, alongside unaudited second quarter 2026 revenue of C$0.73 million and a 65% gross margin.

From AI Triage to Medical Education

Beyond its core platform, the company has developed a virtual emergency department diversion model, an AI voice assistant supporting care navigation, and medical education tools that bring AI-driven clinical training to medical students.

Experienced Leadership Team and Board

Rocket Doctor AI is led by Chief Executive Officer Essam Hamza, MD, alongside Co-Founder and Chief Medical Officer Kevin Peterson, MD, Chief Financial Officer Andrew Lau, and Chief Operating Officer Richard Atkins. Rocket Doctor Inc.'s Founder and CEO Bill Cherniak, MD, and Chief Operating Officer, Harry Cherniak, round out the leadership team, which is supported by physician team leads across the United States and Canada.

Digging Deeper

Rocket Doctor AI Inc. (CSE: AIDR, OTC: AIRDF, Frankfurt: 939) delivers physician-guided, AI-powered solutions built to make high-quality healthcare accessible throughout the entire patient journey. The business combines trusted AI technology, care delivery solutions, payer access, and patient demand so that doctors and specialists can deliver high-quality care at scale on provider-centered platforms.

The digital health platform and marketplace through which physicians see patients belongs to Rocket Doctor Inc., a wholly owned subsidiary, and the two entities are respectively led by Dr. Essam Hamza, Chief Executive Officer of Rocket Doctor AI Inc., and Dr. William Cherniak, Founder and Chief Executive Officer of Rocket Doctor Inc.

Operations span both the United States and Canada, with services currently delivered in Canada across Alberta, British Columbia, and Ontario, and in the United States in California, Maryland, and New York. The platform, to date, has supported more than 350 physicians and more than 800,000 patients across the United States and Canada. In the United States the Company has signed Agreements with more than 20 payer partners, which in turn enables Rocket Doctor’s physicians to be in network for up to approximately 24 million members. That figure counts members eligible under those payer arrangements. Rocket Doctor uses the shorthand “Shopify for Doctors” for the model, supplying the technology and infrastructure, the payer relationships, the patient access, and the billing and revenue operations while the physician runs the practice.

Rocket Doctor’s mission specifically targets rural, remote and underrepresented communities across Canada and the United States, with a dedicated focus on supporting United States Medicare and Medicaid patients. Physicians using the platform can independently launch and manage their own virtual or hybrid in-person practices, which extends coverage into those communities without requiring a physical clinic in each of them.

Reported results for the second quarter of 2026 give the current scale of that business, with revenue of $734,028 in Canadian dollars for the quarter, an increase of 43 percent year over year, and completed patient visits of 3,911 in the United States and 45,766 in Canada.

The sections that follow cover the access problem Rocket Doctor addresses, the AI platform and the clinical library underneath it, the provider proposition and the partnerships extending its reach, the United States payer network, growth and traction through the first two months of the third quarter of 2026, the revenue model and capital position, and the leadership team.

Rocket Doctor identifies five problems in healthcare delivery: soaring costs, shrinking access, misinformed care, data overload, and administrative burden. AARP puts the cost of misdiagnosis at more than $100 billion, and shrinking access shows up as fewer doctors, faster visits, rising burnout, and longer wait times. Patients for Patient Safety Canada reports that misinformed care affects millions of Americans each year, doctors absorb data from multiple sources every time they reach a decision, and Healthy Debate puts the share of physician time consumed by administrative work at 40 percent.

Across both markets, the access gap is measured in millions of people. In the United States, more than 100 million people do not have a primary physician, and a separate statistic puts more than 100 million people on Medicaid and Medicare. In Canada, more than 6.5 million people do not have a primary physician, and the average wait for a non-emergency routine appointment with a family physician in communities under 25,000 people runs three to six weeks. Unnecessary emergency room visits account for $32 billion annually in the United States.

Rocket Doctor suggests a minimum seven tests for the credibility of healthcare AI: whether it can be trusted, whether it is accurate, whether it is portable, whether it integrates with electronic medical records and customer relationship management systems, whether it is plug-and-play, whether it is dependable, and whether it is commercially viable.

In Rocket Doctor’s case, a connected suite of AI solutions sits on a core digital health platform which can be consumed in a number of different ways depending on a client Use Case. These include integrations with: AI HealthBot, smart triage, AI scribe, AI assistant, EMR (Electronic Medical Record); Bluetooth enabled devices, billing and revenue reconciliation, and the providers and practice layer, with Rocket Doctor’s proprietary Global Library of Medicine (GLM) at the center.

The Global Library of Medicine has been developed since 2016 with hundreds of physicians globally, with over 25,000 hours of input from clinicians and approximately 10,000 expert medical reviews behind it. It provides diagnostic support for healthcare professionals covering more than 1,000 diseases and more than 17,000 symptoms in real time, suggests appropriate lab tests and imaging, treatment options, and billing codes, and can connect to third-party platforms or organizations through plug-and-play application programming interfaces (API). Rocket Doctor AI Inc.’s published company boilerplate calls the GLM a cornerstone of its proprietary technology and a clinically validated decision support system. The GLM can be partitioned for specific use cases, such as chronic diseases like diabetes. As one example, the platform has been used to support and test medical students in clinical skills exams (the Objective Structured Clinical Examination, or OSCE). Other use cases include: voice assistants, nurse call centres, telehealth, pharmacy kiosks, and health systems.

The GLM can be utilized across the full continuum of care, beginning with AI assisted intake that handles symptom-based smart intake. The patient visit uses AI-driven diagnostic support, questioning through chat and video, live appointments, recommended referrals, labs and imaging, and through AI, real-time updates into the patient chart. AI assisted post discharge follow-ups, for chronic conditions management, future appointments, reminders, and preset follow-ups.

United States federal research funding has been directed at the same clinical reasoning technology, and in a release dated June 16, 2026 Rocket Doctor AI announced that its United States subsidiary, Treatment.com, secured US$250,000 in Year 2 National Institutes of Health funding, bringing total support to more than US$500,000 to advance an AI-powered, culturally responsive family health history platform. The underlying work is a partnership with Rush River Research under a US$2 million National Institutes of Health grant, applying Rocket Doctor’s proprietary artificial intelligence to develop culturally sensitive diagnostic tools that bridge gaps in family medical history, with second-year funding confirmed following completion of the program’s first-year milestones.

Rocket Doctor Inc. completed a SOC 2 Type 1 examination, announced in a release dated July 14, 2026, following an independent third-party audit of its security, availability, confidentiality, and privacy controls. SOC 2 is an attestation framework developed by the American Institute of Certified Public Accountants for evaluating how organizations protect sensitive customer data, and a Type 1 examination addresses the design of controls at a point in time. That release stated the examination reviewed information security and access management practices, and that the subsidiary had dedicated substantial resources to the work over the preceding eight months as part of a broader enterprise growth strategy.

Rocket Doctor Inc. set out from its beginning to be different from other virtual care providers, with an emphasis on physician flexibility, high and consistent patient care and supporting disenfranchised populations. The provider proposition removes friction that makes it difficult to deliver modern care, and has four parts. Providers can start faster, onboarding and beginning to see patients quickly through virtual clinics. They can operate more efficiently, with AI-powered tools supporting intake, visits, documentation, and follow-ups. Physicians have the ability to reach more patients, since built-in patient access and payer relationships help drive utilization across the practice. They can enhance care with AI, which supports clinical workflows without replacing providers.

Institutional relationships extend that reach into populations physicians would struggle to serve independently, spanning virtual emergency department work, municipalities, non-profits, and payer organizations including the Central California Alliance for Health. Current deployments cover municipal health initiatives with Bruderheim and Lethbridge County, virtual emergency department diversion programs with Georgian Bay, and specialized oncology triage pathways with Melanoma Canada and the Central California Alliance for Health.

Clinical coverage and the teaching pipeline behind it both widened during the second quarter of 2026. A partnership with Mindstride AI provides after-hours and overflow physician coverage across Ontario, Alberta, and British Columbia, drawing on Rocket Doctor’s network of more than 350 licensed physicians, and a Digital Health Observership Program launched with the University of Toronto for Physician Assistant students ties clinical education to digital health innovation and workforce development.

Rocket Doctor Inc. extended its engagement with EngageWell to continue expanding access to physician-led care across New York City, following completion of the New York Health Foundation-funded “Virtual Pathway to Care” initiative, which exceeded its program goals by connecting more than 400 underserved New Yorkers to physician-led virtual urgent care, preventive health consultations, psychiatric evaluations, and primary care navigation through trusted community-based organizations. The extended agreement took effect July 1, 2026 and aligns with the underlying grant-funded telehealth initiatives through October 31, 2029, and the July 30, 2026 announcement stated that Rocket Doctor Inc. will work toward billing Medicaid directly where eligible while maintaining no-cost access for participating patients. The subsidiary also joined the Alliance for Connected Care’s Telehealth Voters Pledge, a national coalition of over 130 participating organizations advocating for permanent Medicare telehealth legislation, and Harry Cherniak, Co-Founder and Chief Operating Officer of Rocket Doctor Inc., travelled to Washington to present the pledge to members of Congress.

Rocket Doctor AI now aims to reach more consumers through motorsport, in a partnership with Rick Ware Racing and FINTEKK AP that brings the brand to NASCAR, NHRA, and Supercross to support growth across United States markets. The partnership spans the 2026 NASCAR Cup Series, the National Hot Rod Association, the World Supercross Championship, American Flat Track, and other nationally televised motorsport events (national channel coverage includes: NBC, Fox, FS1, Prime Video and HBO Max). The racing operation’s channels carry 4.1 million total followers, 13.2 million views, and 2.6 million interactions on social media.

Canada’s Top 100 AI & Tech Startups for ALL IN 2026, the country’s largest event dedicated to artificial intelligence and advanced technologies, includes Rocket Doctor Inc., which was selected from more than 330 applicants for the event held in Montréal on September 16 and 17, 2026. Commenting on the selection in the release announcing it, dated July 23, 2026, Dr. William Cherniak, Co-Founder and Chief Executive Officer of Rocket Doctor Inc., stated: “Artificial intelligence is most valuable when it pairs with physicians to help solve real healthcare challenges.”

Building a successful digital health practice in the United States is hard: obtaining payer trust and the timeline to complete all the necessary accreditations are what make it so. Total estimated time to set up a group is more than two and a half years. Rocket Doctor Inc. has invested in this infrastructure setup since 2022 and estimates it takes eight to fifteen months or more per payer to secure contracts, three to six months per physician to credential, one to two months to set up billing, and then begin patient growth, which started for Rocket Doctor Inc. from December 2025 onward. Competitors will face at least 18 to 24 months or more to replicate the technology, payer contracts, credentialing, and revenue operations, with no guarantee of securing payers at the end of it.

Rocket Doctor’s in-network access now covers California, New York, and Maryland, reported through to the second quarter of 2026. Total in-network eligible members by state stand at 10,261,637 in California, 9,977,993 in New York, and 3,180,599 in Maryland. A release dated September 1, 2026 states the same position as approximately 10.3 million covered lives in California, approximately 10.0 million in New York and approximately 3.2 million in Maryland, for approximately 24 million covered lives in total. The strategy is to extend existing relationships with payers, and the state expansion pipeline targets Florida and Texas, which together hold approximately 17.8 million Medicare and Medicaid covered lives, approximately 9 million of them in Florida and approximately 8.8 million in Texas.

Successive payer agreements have created the in-network opportunity, growing from more than 13 million eligible members announced by October 2025 and continuing through 2026 with a January contract adding 175,000 members in California and a March agreement adding more than 2 million more in the same state. The Maryland position was built across three announcements in April 2026, beginning with an April 8 expansion that launched patient care operations following the establishment of in-network Medicaid and Medicare coverage in the state and appointed Dr. Suzanne Caccamese as Maryland Medical Lead. An April 14 agreement, Rocket Doctor’s first in-network agreement with the state entity of a major national insurer, added approximately 2 million covered lives, and an April 21 agreement added approximately 250,000 members and brought total covered lives in the state to approximately 3.2 million.

Agreements announced through the middle of 2026 widened the base after the Maryland buildout, with a release dated August 11, 2026 announcing in-network access to physician-led virtual care for more than 100,000 additional eligible members across New York health plans, and a release dated June 30, 2026 announcing Rocket Doctor’s first United States value-based care arrangements.

That June 30 announcement covers two arrangements, a primary care provider agreement alongside a specialty services agreement. The primary care agreement runs with a California independent physician association and opens with an initial panel of 30,000 covered members, while the specialty services agreement carries in-network reach to more than 5 million members, and between them the two arrangements span nine payers and 65 health plans. Under the primary care terms physicians are assigned patient panels and paid a recurring amount per member per month in addition to per-visit fees, across Commercial HMO and PPO plans, which are the two standard commercial network designs, Medicare Advantage, D-SNP plans for patients eligible for both Medicare and Medicaid, and Medi-Cal, which is California’s Medicaid program. Recurring revenue under that structure begins before a patient books an appointment, continuity of care follows the assigned panel, and the arrangement strengthens Rocket Doctor’s position in California, which it identifies as its lowest cost and highest volume state. The same structure can be pursued with other health plans as the business grows, and patients arriving through a plan carry no acquisition cost.

A further agreement announced on August 18, 2026 widened the California position beyond the traditional payer contracting that had built the in-network base. Rocket Doctor AI announced a new strategic provider network agreement with a national technology-enabled network solutions partner, giving Rocket Doctor participation across five network channels: Primary, Complementary, Workers’ Compensation, Auto Medical and Medicare Advantage, subject to applicable participation, eligibility and benefit requirements. The network itself serves more than 700 health plans, over 100,000 employers and approximately 60 million consumers, with approximately 1.4 million contracted providers, and a single agreement creates a pathway to participate across those channels without separate network agreements with each participating downstream organization. The agreement became effective on July 1, 2026, carries an initial one-year term with automatic annual renewals, and establishes a new contracted entry point into California’s workers’ compensation market.

Four key payer channels contribute in driving the company’s United States growth. Medicare and Medicare Advantage bring high-need, high-utilization patients, while Medicaid and Medicaid Managed Care address a massive access gap with strong virtual care need. Human resources, employer benefits, and commercial insurance reach large populations through employer plans, and out-of-network work expands reach while strengthening its position in payer negotiations. Each payer may open access to one to two million or more covered lives and create repeatable patient volume.

Out-of-network visits have also been pursued to build patient volume now, prove demand to payers, and strengthen future contracting, so patient demand leads the payer conversation.

Rocket Doctor AI’s United States moat is that combined position, an established provider, payer, credentialing, and revenue operations infrastructure built over three and a half years and specific to Medicare and Medicaid. It covers government-funded health insurance including Medicare Advantage and managed Medicaid alongside the broader payer mix, credentialing workflows that onboard physicians in months and were built through years of operating experience, and revenue operations supporting billing, collections, and visit-based care delivery, with in-network coverage across multiple states and growing access to covered lives, physicians, and patients.

A multi-state expansion strategy and a business-to-business licensing push are both set out in the management discussion and analysis for the second quarter of 2026. The multi-state strategy has been initiated to broaden the United States clinical footprint through 2026, alongside continued work to secure new commercial accounts and deepen penetration within existing payer relationships. The business-to-business work also includes the potential white labeling of the digital health infrastructure as a recurring revenue pathway for United States healthcare delivery organizations to deploy physician-led virtual care under their own corporate brands.

Revenue for the three months ended June 30, 2026 reached $734,028 against $512,756 in the second quarter of 2025, an increase of 43 percent year over year, and revenue for the six months ended June 30, 2026 reached $1,471,131. Both figures are stated in Canadian dollars, the presentation currency of the interim financial statements under IFRS. A release dated September 1, 2026 attributed the continued year-over-year growth to the successful integration of Rocket Doctor Inc., acquired in April 2025, and to an ongoing ability to scale the digital healthcare platform.

Patient support fees are the largest component of that revenue, at $548,622 for the second quarter and $1,071,655 for the six months, alongside service revenues of $116,334 and $245,654 and subscription revenues of $69,072 and $153,822 across the same two periods. Revenue is reported for both geographies, and for the six months ended June 30, 2026 Canada contributed $1,073,607 against $460,590 in the comparable period of 2025, with the United States at $397,524 against $52,166.

Growth drivers named across 2026 reporting have been consistent from quarter to quarter, covering greater patient visit volumes, expansion of the physician network and service coverage, improved monetization through patient support fees and subscription revenue, and continued scaling following the integration of Rocket Doctor Inc., and the partnership with Rush River Research, which commenced in October 2025, also contributed to revenue during the second quarter.

Completed patient visits in Canada reached 45,766 in the second quarter of 2026 against 37,176 in the second quarter of 2025, an increase of 23 percent, and the first quarter of 2026 ran to the same pattern at 47,790 against 38,658 a year earlier, an increase of 24 percent.

The United States operation is growing quickly from a much smaller base than the Canadian one, and its quarterly series across 2026 shows the shape of that ramp. Completed United States patient visits went from 86 in the fourth quarter of 2025 to 1,319 in the first quarter of 2026 and 3,911 in the second quarter, reported as a 196 percent increase and a nearly threefold rise. Clinical hours delivered in the United States track the same climb, rising from 75 in the fourth quarter of 2025 to 1,121 in the first quarter of 2026 and 1,987.5 in the second.

The first two months of the third quarter continued at that pace, and a release dated September 14, 2026 reported 3,625 completed United States patient visits for the two months ending August 31, 2026, which is 93 percent of the 3,911 visits recorded across the entire second quarter. United States clinical hours reached 1,555 over the same two months, or 78 percent of the 1,987.5 hours recorded for the full second quarter. Running the July and August monthly averages across a full quarter, Rocket Doctor AI estimates 5,438 completed United States patient visits and 2,332.5 clinical hours for the third quarter.

Physician capacity is where Rocket Doctor expects the next leg of United States growth to come from, and the signed roster already runs well ahead of the clinically active count, with 81 MDs signed in California, New York and Maryland, 31 clinically active United States physicians and 50 more in credentialing. This United States growth in the first and second quarters was achieved while expanding the active provider network from 19 to 30 clinicians during the period, several of whom were only onboarded mid-quarter following credentialing completion.

Revenue reaches the company through three streams that differ in size, in pricing mechanism, and in who pays the bill, and the annual amounts below are the components of company-defined annual recurring revenue, a non-GAAP measure stated in United States dollars. Direct to consumer is the largest at approximately $2.52 million a year, generated by United States and Canadian physicians booking virtual appointments, with an average fee of 17 percent per Canadian appointment and a flat US$25 fee per United States appointment. Partnerships contribute approximately $250,000 a year from pharmacies, allied health partners, and Independent Provider Associations, priced at a $250 fee plus $250 a month for support and $3,000 for device enabled stations, with the associations sending patients and lowering customer acquisition costs in the process. The platform stream contributes approximately $160,000 a year from a monthly fee paid by physicians, running from US$25 to US$75 per physician per month depending on specialty and geographic location. Gross margin for the second quarter of 2026 was 65 percent, an unaudited figure for the three months ended June 30, 2026.

Those three streams total an annual recurring revenue figure of approximately US$2.9 million, a non-GAAP measure with no standardized meaning under IFRS, defined as the total value over the preceding twelve months of revenue recognized under IFRS plus revenue commitments from customers that are contracted but not yet recognized under IFRS. Annual recurring revenue is presented in United States dollars while the IFRS financial statements are stated in Canadian dollars, and Rocket Doctor AI cautions readers against comparing the two directly.

Rocket Doctor AI carries stock listings under CSE: AIDR, OTC: AIRDF, and Frankfurt: 939, with 103,397,966 common shares outstanding on a basic basis and a fully diluted share count of 133,727,653, both calculated on shares issued and outstanding as of September 10, 2026. Insider ownership stands at 4.14 percent, and outstanding warrants, options and restricted share units run to 16,382,064, 7,580,475 and 6,367,148 respectively, with the warrants exercisable at an average price of CAD $0.81 across a range of CAD $0.50 to $1.00 and the options exercisable at an average price of CAD $0.54 across a range of CAD $0.20 to $0.85.

Funding for the United States expansion came through two tranches of a previously announced private placement of unsecured convertible debentures. The first tranche closed on August 5, 2026, and a news release dated August 17, 2026 announced the closing of the second tranche for gross proceeds of C$992,000, bringing aggregate gross proceeds of the offering to C$3,261,000. The debentures bear interest at 12.0 percent per annum calculated and payable on maturity twelve months following issuance, and are convertible at the holder’s election into units at C$0.70 per unit, each unit consisting of one common share and one transferable share purchase warrant exercisable at C$0.75 for twelve months from issuance. Rocket Doctor AI intends to use net proceeds for working capital and general and administrative expenses focused primarily on its United States growth plans.
